The websites www.NationalFilingSystems.us and www.NationalFilingSystems.com (collectively, “NFS US,” “NFS.US,” “NFS,” or the “website”) are independently owned and operated by National Filing Systems LLC (“NFS LLC,” the “company,” “we,” “our,” or “us”). NFS LLC is a privately owned assisted filing service that provides self-help business filing and document preparation services at the specific direction of its users. We also provide general information regarding issues commonly encountered during the startup and maintenance of a business. The information and services provided through this website do not constitute legal advice and are not a substitute for the advice of a licensed attorney.

Use of this website and our services is subject to these Terms of Service. These Terms of Service were last updated September 21, 2022.

These Terms of Service constitute a legally binding agreement between you (the “user,” “you,” or “your”) and National Filing Systems LLC and govern your use of the website and services provided by NFS LLC.

I. Use of this Site

BY USING THIS WEBSITE, SUBMITTING AN APPLICATION OR ORDER, OR USING OUR SERVICES, I REPRESENT THAT I AM AT LEAST 18 YEARS OF AGE AND LEGALLY CAPABLE OF ENTERING INTO A BINDING CONTRACT.

I ACKNOWLEDGE THAT THE SERVICES PROVIDED BY NFS LLC ARE NOT LEGAL SERVICES AND DO NOT CONSTITUTE LEGAL ADVICE. NFS LLC IS NOT A LAW FIRM, AND ITS REPRESENTATIVES ARE NOT ACTING AS ATTORNEYS. NO ATTORNEY-CLIENT RELATIONSHIP OR ATTORNEY-CLIENT PRIVILEGE IS CREATED BETWEEN ME AND NFS LLC THROUGH MY USE OF THIS WEBSITE OR ITS SERVICES. THE INFORMATION PROVIDED THROUGH THIS WEBSITE IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR LEGAL COUNSEL.

1. Private Filing Service

By using this website, I acknowledge that National Filing Systems LLC is the owner and operator of www.NationalFilingSystems.us and www.NationalFilingSystems.com. NFS LLC is a privately owned company and is not a government agency and is not affiliated with, endorsed by, or acting on behalf of any federal, state, county, or local government agency.

I further acknowledge that NFS LLC is not a law firm and does not offer or provide legal advice. The information provided through this website is for informational purposes only and is not a substitute for legal counsel.

2. Authorization to Prepare and Submit Documents

By using this website and submitting an order, I authorize National Filing Systems LLC and its authorized representatives, agents, service providers, organizers, or incorporators, as applicable, to act on my behalf for the limited purpose of preparing, completing, and submitting the documents and filings requested in my order.

I authorize NFS LLC to use the information I provide to prepare the requested documents and to submit those documents, electronically or otherwise, to the applicable Secretary of State, county office, Internal Revenue Service, or other governmental agency or third party as reasonably necessary to complete the services I have requested.

I also authorize NFS LLC to pay applicable initial state, county, publication, or other filing fees on my behalf when such fees are included in or required for the service ordered.

I acknowledge that I am responsible for the decision to create, register, modify, maintain, or dissolve any Limited Liability Company, Corporation, Partnership, assumed name, or other business entity or service requested through my order.

I represent that I am authorized to submit the order and provide instructions concerning the business or person for whom the services are requested. I certify that the information I provide to NFS LLC is true, complete, and accurate to the best of my knowledge, and I understand that NFS LLC relies upon the information I provide when preparing and submitting documents.

NFS LLC prepares documents and completes filing information based upon the information and instructions provided by the user. NFS LLC does not independently determine whether the user's requested filing or information is legally appropriate for the user's particular circumstances. If I require legal advice regarding the consequences of a filing or business decision, I understand that I should consult a licensed attorney.

3. Authority and Registered Agent Consent

By using this website and submitting an order, I represent that I am the person, executor, guardian, authorized officer, member, owner, agent, or other authorized representative of the person or business for whom the requested documents or services will be prepared and that I have authority to request and authorize those services.

I further represent that any person or entity identified by me as the registered agent of a business has consented to serve as the registered agent, where such consent is required.

4. Payment

I agree to pay the processing, service, filing, and other applicable fees disclosed in connection with my order. I acknowledge that my business registration application or other requested service will not be processed until the required payment has been received.

The total amount due for the order will be disclosed on the applicable checkout or payment page. I authorize NFS LLC to charge the payment method I provide for the amount disclosed and authorized in connection with my order.

Refunds and cancellations are governed exclusively by the Payment and Refund Policy contained in Section III of these Terms of Service, including the applicable one (1) calendar day refund period, e-signature restrictions, processing fees, and exclusions for government filing fees, publication fees, registered agent fees, expedited processing fees, and other applicable third-party charges.

5. Filing Service; Government Agencies

I understand that NFS LLC does not itself approve, issue, or register a corporation, Limited Liability Company, assumed name, or other business entity or governmental filing. NFS LLC assists with preparing the requested documents and submitting them to the appropriate government agency or other filing authority for review and processing.

Approval or acceptance of a filing is determined solely by the applicable government agency or filing authority.

I understand that registration of a business entity does not necessarily constitute a license to conduct business. It is the user's responsibility to determine and obtain any licenses, permits, registrations, tax accounts, certificates, or other authorizations that may be required to operate the business.

6. Continuing Compliance

Unless specifically included in the service ordered, it is the user's responsibility to determine and satisfy any continuing filing, reporting, licensing, tax, or other requirements applicable to the business, including annual reports, periodic reports, Statements of Information, renewals, and similar filings.

NFS LLC is not responsible for preparing or filing documents required to maintain the business or for paying fees, taxes, penalties, or other obligations associated with maintaining the business unless NFS LLC has expressly agreed to provide the applicable service as part of a separate order.

It is the user's responsibility to maintain the business and keep it in good standing with the applicable state, county, or other governmental authority.

7. Organizer or Incorporator

If an NFS LLC representative is authorized to sign formation documents as an organizer or incorporator, the representative does so solely for the limited purpose of facilitating the requested formation filing.

Serving as organizer or incorporator does not give NFS LLC or its representative any ownership interest, membership interest, management authority, continuing obligation, fiduciary duty, or other ongoing role in the business entity after formation, except as otherwise expressly agreed to in writing.

8. Eligibility and Use

By using this website, I represent that I am at least 18 years of age and legally capable of entering into a binding contract. I agree to use the website and services in accordance with these Terms of Service and applicable law.

Use of this website and the services provided through it is subject to the limitations and disclaimers contained in these Terms of Service.

9. Additional Fees, Taxes, and Obligations

I understand that I am responsible for any additional city, county, state, or federal filing fees, franchise taxes, assessments, licensing fees, penalties, or other governmental charges arising from or associated with my business or requested filing unless the applicable fee is expressly stated to be included in the service purchased from NFS LLC.

10. Business Name Availability

I understand that a business name availability check does not guarantee that a proposed name will be accepted or approved by a government filing authority or that use of the name will comply with federal, state, or local law.

It is the user's responsibility to determine whether a proposed business name satisfies applicable legal requirements and whether use of the name may infringe upon or conflict with the trademark, trade name, or other rights of another person or entity.

Certain names may require additional documentation, consent, licensing, or governmental approval. A preliminary name availability check may not identify all such requirements.

NFS LLC does not guarantee approval or acceptance of a proposed business name by any government agency or filing authority.

11. Transactional and Courtesy Communications

By submitting an order, I understand that NFS LLC may send transactional communications reasonably related to my order or services, including confirmation that my order has been received, notifications regarding the processing or completion of my order, requests for information necessary to complete the requested service, and other customer service communications.

NFS LLC may also provide courtesy reminders regarding upcoming business filing or renewal deadlines when such reminders are offered. Unless NFS LLC has expressly agreed to provide a specific compliance or renewal service, any courtesy reminder does not transfer responsibility for meeting the applicable filing deadline from the user to NFS LLC.

II. Privacy Policy

1. Our commitment to privacy and data security

We take your privacy seriously. To prevent unauthorized access, we have put in place appropriate physical, electronic, and managerial procedures to safeguard and secure the information we collect online. All information received is protected both online and offline. Sensitive information collected, such as credit card data, is encrypted and transmitted in a secure way. We use an SSL certificate to help secure this data, and this can be verified by looking at our web URL and verifying that it submits to a page that begins with an "https", or Hypertext Transfer Protocol Secure.

2. The Information We Collect

Your personal information is used for the sole purpose of completing the services ordered. Your personal information is not used for any other purpose and is not shared with any other third parties accept to the extent necessary to fulfill the services ordered.

Our site does not contain an opt-in option, so we do not include an opt-out option or an unsubscribe link in email, and we don't offer a newsletter. National Filing Systems LLC will only send emails in regards to customer support, sales confirmations, or to obtain other additional information that may be necessary to complete your order.

NFS LLC uses cookie features of third-party providers, including Google Analytics (Google Display Network Impression Reporting, Google Analytics Demographics and Interest Reporting). These cookies do not capture personally identifiable information, such as your name or email, or track interactions outside of NFS US. You can remove cookies by following the directions provided in the “help” directory of your internet browser. Please Review Google Analytics Privacy Policy for additional information. You can still use our site if you reject cookies, but your ability to use some areas will be limited.

3. The Information We Retain

We will maintain your information, including a copy of IRS Form SS-4 authorizing National Filing Systems, LLC, to apply and receive a EIN on your behalf as a third-party designee, for the period of time necessary to comply with applicable law. Other information, like payment information will be maintained on our system for the period of time necessary to comply with applicable law, and to the extent required by our merchant processors.

4. Secure Shopping Security Practices

You can shop at www.nationalfilingsystems.us with confidence. We have partnered with Authorize.Net, a leading payment gateway since 1996, to accept credit cards and electronic check payments safely and securely for our customers. The Authorize.Net Payment Gateway manages the complex routing of sensitive customer information through the electronic check and credit card processing networks. The company adheres to strict industry standards for payment processing, including:

128-bit Secure Sockets Layer (SSL) technology for secure Internet Protocol (IP) transactions.
Industry leading encryption hardware and software methods and security protocols to protect customer information.

III. Payment and Refund Policy

The Payment and Refund Policy is subject to the Terms of Service set forth herein. The specific details of this policy are as follows:

1. Payment Requirements

Payment is due immediately upon completion of our business registration form. No registration requests will be processed until payment has been received.

A refund may be requested within one (1) calendar day of purchase, provided that the order has not been completed, documents have not been e-signed, and the order otherwise qualifies for a refund under this policy. After one (1) calendar day, all payments become final and non-refundable. Under no circumstances will a refund be issued after documents have been e-signed or after the expiration of the one (1) calendar day refund period, regardless of the completed status of the assignment.

Payments made by NFS LLC to any state agencies, county agencies, newspaper publications, registered agent services, or other third parties on the customer's behalf are non-refundable.

No refunds will be given for failure to fulfill our obligations due to causes beyond our reasonable control and without our fault or negligence. No refunds will be issued for incomplete assignments resulting from the user's failure to e-sign final documents or respond to requests for additional information that may be needed to complete the assignment. It is the user's responsibility to provide accurate and complete information. Any refund approved under this policy will be subject to a $35.00 USD refund processing fee.

2. Payment Scope and Expiration

The amount of payment due is specified on our payment form. This is the total amount due for one registration assignment. This payment covers marketing, processing, name availability check fees, postage and handling of the application, and includes payment of the initial state filing fee, or, if applicable, the county filing fee and newspaper publication fee by NFS LLC on the customer's behalf.

If an assignment remains incomplete for twelve (12) months due to causes beyond our reasonable control, the payment will expire, and a new filing fee must be paid to resume service. An additional payment may be required to cover any late, reinstatement, or other fees imposed by state or county agencies.

All payments must be submitted via credit card. We do not accept checks or money orders. Any checks or money orders sent to us will be returned to the sender in a timely manner.

3. Order Processing and Cancellations

NFS LLC begins processing an order immediately after submission. Because processing begins immediately, customers who wish to cancel an order must submit their cancellation request within one (1) calendar day of purchase and before documents have been e-signed.

If a customer cancels within the one (1) calendar day refund period and otherwise qualifies for a refund, the refund amount shall be reduced by: (i) a $35.00 USD refund processing fee; (ii) any expedited or rush processing fees purchased; and (iii) any government filing fees, publication fees, registered agent fees, or other third-party fees paid or incurred on the customer's behalf.

No refunds will be granted after the expiration of one (1) calendar day or after documents have been e-signed, whichever occurs first. Payments made by NFS LLC to newspaper publications, third-party registered agent services, state agencies, county agencies, or other third parties on the customer's behalf are not refundable under any circumstances.

Expedited processing fees, same-day processing fees, one-hour processing fees, priority handling fees, and similar service upgrade charges are non-refundable once an order has been submitted for processing. These fees compensate NFS LLC for the immediate allocation of personnel, resources, and priority handling of the customer's request and are earned upon commencement of processing, regardless of whether the customer subsequently cancels the order or requests a refund.

Any approved refund shall exclude all expedited processing fees, government filing fees, publication fees, registered agent fees, and other third-party fees paid or incurred on the customer's behalf.

4. Processing Times

The time period quoted by the Secretary of State, county clerk's office, or other filing agency for processing documents is an estimate only and may change depending on the workload, back-order status, or other circumstances affecting the applicable state or county office.

NFS LLC is not responsible for delays caused by state or county agencies, newspaper publications, registered agent services, or other third parties. No refunds will be issued solely due to processing delays.

5. Filing Fees and Share Authorizations

The filing fee for articles of incorporation in some states may be based upon the number of shares authorized in your articles. If you wish to authorize more than the maximum amount the state allows without imposing additional fees, and need assistance in calculating your filing fee, you may contact us. We will authorize the maximum amount of shares that the filing fee submitted allows us to in those states after receiving payment.

6. Subscriptions

Subscriptions are offered on a monthly or yearly (annual) basis. Subscription fees are charged on a monthly (or annual) basis on the day of the month (or year) the subscription was ordered.

The user may cancel anytime by contacting NFS LLC via telephone, website contact us form or email. If the user cancels a subscription, they shall be charged any amount still owed for the month (or year) in which cancellation is made, and the subscription service will continue until the end of that month (or year).

NFS LLC reserves the right to terminate a subscription for the user's failure to pay, if the amount owed has exceeded 30 day past due. NFS LLC shall be free to change their monthly (or annual) price for subscriptions, upon 60 days advance notice to the user. The user's failure to cancel their subscription within 30 days after they received advance notice of a price change, shall constitute the user’s full acceptance of the new subscription price and authorization for NFS LLC to charge the new monthly (or annual) price.

7. Agreement

By using our site or services, you acknowledge and agree to this Payment and Refund Policy and the Terms of Service of NFS LLC.

IV. Force Majeure

We will not be liable for failure to fulfill our obligations due to causes beyond our reasonable control and without our fault or negligence. If we encounter such a force majeure event, we will (a) use commercially reasonable efforts to promptly notify you of conditions which will result in a delay in or failure of performance, (b) use commercially reasonable efforts to avoid or remove the conditions, and (c) continue performance when the conditions are removed.

V. No Warranty

1. NFS LLC makes no warranty that any products, services, forms or documents described on, provided through or in connection with this site will meet your requirements or expectations. All such products, services, forms and documents are offered and provided solely on an "as is" basis. NFS LLC will not be held responsible for any damages to your computer system resulting from downloading or receiving content or material from this site or its administrators. NFS LLC is not responsible for application assignments that are denied by the state or county. Use of this site is at your own risk.

2. NFS LLC, does not review your information for appropriateness, legal sufficiency, or legal conclusions. NFS LLC, does not provide legal advice. If the User is in doubt about the legal effect of submitting a registration application, the appropriate information to be reported in said application, or the accuracy of said information, User should seek the counsel of a licensed attorney.

VI. Refusal of Service

We shall be the sole arbiter of what is and is not a violation of these acceptable use policies. We reserve the right to terminate any account at any time and for any reason we see necessary. We reserve the right to delete all content and files upon termination. We reserve the right to refuse, cancel, or suspend service at our sole discretion.

NFS LLC AND ANY PERSON OR ENTITY ASSOCIATED THEREWITH IS NOT LIABLE FOR DAMAGES OF ANY KIND, INCLUDING ATTORNEY FEES AND COSTS, ARISING FROM THE SUBMISSION OF INCORRECT OR INACCURATE INFORMATION BY THE USER. NFS LLC IS NOT LIABLE FOR DAMAGES OF ANY KIND, INCIDENTAL OR CONSEQUENTIAL, RESULTING FROM OR ARISING IN CONNECTION WITH THE USE, OR INABILITY TO USE, THIS SITE. NFS LLC IS NOT LIABLE FOR PAYMENT OF ANY OTHER FEES REQUIRED TO MAINTAIN THE BUSINESS AND KEEP IT COMPLIANT DURING OR AFTER ITS EXISTENCE. IX. City, County, State and Federal Filing Requirements and Compliance

1. NFS LLC is not responsible for advising or reminding you of any requirements or obligations, including but not limited to any city, county, state or federal filing requirements, taxes due, franchise tax board tax requirements, annual/periodic reports, statements of information due, or any other filing requirements. NFS LLC's sole responsibility is the preparation of your requested initial registration forms. All city, county, state or federal filing obligations, or requirements for the maintenance of your business entity or other business service, are NOT the responsibility of NFS LLC or any person or entity associated therewith, and are the sole responsibility of you.

2. NFS LLC and any person or entity associated therewith is not responsible for fees, fines, or penalty assessment of any kind resulting from the users failure to submit any city, state or federal filing requirements, including but not limited to, statement(s) of information, or annual/periodic report(s) due. NFS LLC and any person or entity associated therewith is NOT responsible for fees, fines, or penalty assessments of any kind resulting from statement(s) of information, or periodic/annual report(s) filed late or incomplete, or the users failure to submit the statement(s) of information, or annual/periodic report(s) a minimum of five (5) business days prior to the due date. The user must allow a minimum of five (5) business days prior to the due date for processing and handling to insure that the statement(s) of information or annual/periodic report(s) are received by the office of the Secretary of State on time.

X. Registered Agent Services

1. I authorize NFS US to receive important communications such as service of process and legal documents of any kind (Legal Documents) on my behalf. I authorize NFS US to send them to me electronically. I agree that NFS US can open, scan, upload and forward the Legal Documents to me electronically, as part of the registered agent services requested. Registered agent services are limited to the receipt of service of process as well as the receipt of Legal Documents only. I authorize NFS US to receive up to three (3) Legal Documents on my behalf annually. I agree that an additional fee may be required to receive Legal Documents in excess of three (3) documents per year. This does not include the receipt of "Regular Mail" and/or other mailed items.

2. Documents that are received by NFS US on your companies behalf that are not communication from the Secretary of State office or filing commission, and are not documents related to legal service of process are considered to be "Regular Mail". The annual registered agent fee paid includes reception of up to five (5) "Regular Mail" documents annually. I understand that there may be an additional fee required to receive "Regular Mail" documents in excess of five (5) documents per year. This additional fee may be subject to change as a result of our determination and our sole discretion. All mail received by NFS US on your behalf will be destroyed forty five (45) days after scanning and electronic delivery. I agree that NFS US does not assume liability to me, or any third party service provider for mail or other items that may be lost.

3. NFS US reserves the right to work with any third-party providers we choose to provide the registered agent services ordered. I acknowledge and agree that these third party service providers may assist NFS US in providing me with the registered agent services ordered.

XI. Sales, Service, Use and like Taxes

Except to the extent, if any, otherwise expressly set forth in an applicable order, you are solely responsible for the the payment of all taxes pertaining to the services and resulting deliverables provided under the Terms of Service and orders, including without limitation any and all sales taxes, use taxes, value-added taxes, services taxes and the like. We may, however, and solely at our option to be exercised through written/electronic notice to you, elect to additionally charge and add such taxes that are required by a seller/provider to be withheld and paid directly in accordance with law or regulations.

XII. Disputes and Choice of Law

Should any dispute arise between the parties; the parties will attempt to resolve the dispute in good faith by negotiations. If such negotiations do not result in resolution of the dispute, the parties shall refer such dispute to arbitration. The duty and right to arbitrate will extend to any employee, officer, director, shareholder, agent, representative, parent, or affiliate of the parties. The arbitration shall be conducted in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association before a sole arbitrator who is an attorney that is familiar with electronic commerce transactional matters. If you initiate the arbitration, then it will be held in Dayton, Ohio. If we initiate the arbitration, then it shall be held in the capitol of the state for which the assignment at issue related. The arbitrator must enforce the applicable Terms of Service and applicable provisions of the order at issue and will have no authority to award punitive or other non-compensatory damages or award damages in excess of the limitations and exclusions set forth in these Terms of Service or grant relief inconsistent with the terms of the applicable order. The decision of the arbitrator shall be final and binding upon the parties and the award so rendered may be entered in any court having jurisdiction thereof. Neither party may bring a claim more than two (2) years after the corresponding cause of action for the claim accrues. This Agreement will be governed by, and interpreted under, the laws of Ohio and a court jurisdiction shall in all events include the courts at Dayton, Ohio.

XIII. Your Electronic Signature

You acknowledge and agree by using this website and checking the authorization box located on our submission page, that you are submitting a legally binding electronic signature and entering into a legally binding contract, and representing that you are the person, executor, guardian, authorized officer, or agent of the person or persons for whom documents will be created under this order, and that you have authority to prepare the documents that you are requesting, and also that you are an authorized representative and signatory of the business entity or company for which services will be rendered. You acknowledge that you are allowing us to sign paperwork, electronically or otherwise, on your behalf as an "authorized representative" by checking the authorization box and submitting an order to NFS LLC. By checking the authorization box you state that you have read, understand and agree to the Terms of Service and Disclaimer. You acknowledge that your electronic submission constitutes your agreement and intent to be bound by this agreement.

XIV. Security

All information received is protected both online and offline. Sensitive information collected, such as credit card data, is encrypted and transmitted in a secure way. We use an SSL certificate to help secure this data, and this can be verified by looking at our web URL on the checkout page and verifying that it submits to a page that begins with an "https", or Hypertext Transfer Protocol Secure.

XV. Indemnification for Breach

I will indemnify, defend and hold harmless us against any and all claims (including costs of litigation and attorneys' fees) resulting from a breach or alleged breach by you of any of the Terms of Service or of an order.

XVI. Non-Assignment

I will not assign, delegate or subcontract these Terms of Service or an order without our prior written/electronic approval. Any act in violation of the foregoing will be null and void.

XVII. Non-Waiver
